British Polymer Clay Guild
Constitution of the British Polymer Clay Guild

1. The name of the organisation will be the British Polymer Clay Guild (BPCG)

2. The BPCG is a non profit making, independent organisation and is not allied to any commercial organisation.

3. Membership of the BPCG is open to anyone who is interested in polymer clay, either professionally or privately.

4. The aims of the BPCG are:
• To enable members to learn new skills and share existing knowledge
• To popularise the use of polymer clay through workshops and exhibitions
• To encourage excellence in the medium of polymer clay
• To disseminate information about polymer clay as a craft medium
• To promote the recognition of polymer clay work as a craft

5. The BPCG is run by a Committee consisting of a Chairperson, Secretary, Treasurer and at least three other members. The officers are appointed by the Committee, and other posts may be established as the need arises. The original Committee was appointed by the founders, and their continued office, and/or that of any newly appointed members, will be ratified at each Annual General Meeting by a vote in which all members can participate, either in person or by proxy. If any Committee member wishes to resign, a replacement may be chosen by the remaining Committee members. New members may be invited to join at any time, at the discretion of the existing Committee members.

6. The Committee will hold at least 2 meetings a year, either by electronic means (or post should a committee member not have access to the internet), telephone or by meeting. One meeting may be on the same day as the AGM.

7. When matters are decided by a vote, the result will be determined by a simple majority. A quorum of five BPCG Committee members are required to vote on any issue. Votes may be cast by proxy.

8. An AGM will be held once every other year and will be open to all members. Notice will be given in the newsletter. When matters are decided by a vote at the AGM the majority must be two thirds of those members present. Votes may be cast by proxy.

9. Minutes will be taken at all meetings and these will be available for inspection by any member on application to the Secretary. Members will also be kept informed by e-mail or information posted on the British Polymer Clay Guild’s web site.

10. Members will pay an annual subscription determined by the Committee. The subscription may be reviewed by the Committee from time to time as they see fit and any recommendations for change forwarded to the AGM. The membership year runs from the quarter a member joins. (Note: Membership currently runs from 01 March to the last day of February, with discounts available (at the discretion of the Membership Secretary) if the member joins after 01 June).

11. All funds will be held at a bank as agreed by the Committee, and cheques must be signed by two out of three specified officers. If the Guild is wound up at any time, any surplus funds will be passed to an allied organisation such as the Bead Society of Great Britain.

12. The treasurer will provide a financial report at each meeting, and a full written statement will be provided at the AGM.

13. The accounts will be audited once a year.

14. Any proposed changes to the constitution will be ratified at the AGM.
